1. Acceptance of Terms

By accessing or using NovaCore Technologies Inc.'s services, website, and infrastructure ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Services

NovaCore provides bare-metal GPU infrastructure, including dedicated servers, on-demand instances, GPU procurement, deployment support, and AI infrastructure consulting. The specific terms of your service engagement will be outlined in your service agreement or order form.

3. Account Registration & Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and API keys, and for all activities that occur under your account.

  • Users must maintain the confidentiality of their account credentials and API keys
  • Any unauthorized access or security breaches must be reported immediately
  • Users are responsible for maintaining secure backup procedures for their data
  • Users must implement appropriate security measures for their applications
  • Integration with third-party services must follow our security guidelines

4. Acceptable Use & Prohibited Activities

You agree not to use the Services for any of the following:

  • Using the platform for illegal or malicious purposes
  • Attempting to bypass security measures or access restrictions
  • Sharing or distributing access credentials
  • Reverse engineering the platform or its components
  • Training AI models for harmful or discriminatory purposes
  • Unauthorized scraping or data collection
  • Engaging in activities that disrupt or degrade platform performance
  • Distributing malware, harmful code, or conducting security attacks
  • Conducting unauthorized penetration testing
  • Engaging in cryptocurrency mining without prior written approval
  • Violating data privacy regulations
  • Sharing confidential information without authorization
  • Using the platform for spam, phishing, or fraudulent activities

Resource limits and quotas must be adhered to as specified in your service plan. NovaCore reserves the right to modify or discontinue features with notice.

5. Payment Terms

Fees are specified in your service agreement or order form. All fees are due in U.S. dollars unless otherwise stated. Overdue payments may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. You are responsible for all applicable taxes. Performance monitoring and optimization is the user's responsibility. Technical support availability varies by subscription tier.

6. Service Level Agreements

NovaCore provides SLA-backed uptime guarantees as specified in your service agreement. Service credits for qualifying downtime events will be applied according to the terms of your SLA. SLA commitments, resource usage limits, scaling guidelines, and performance metrics are defined per service tier.

7. Intellectual Property Rights

  • All platform code, design, and infrastructure remain NovaCore's property
  • User-generated AI models and data remain the user's intellectual property
  • NovaCore retains rights to platform improvements derived from usage patterns
  • Users grant a limited license for platform optimization and support purposes
  • Third-party components are subject to their respective licenses
  • Custom developments require separate IP agreements
  • Training data ownership must be properly documented
  • Derivative works must comply with original licenses
  • API documentation and examples are provided under limited license
  • Trademark usage requires written permission
  • Open-source components must maintain attribution

8. Security Disclaimer

NovaCore is not responsible for any security breaches, data loss, or damages resulting from the deployment of malicious software by users. Users are solely responsible for verifying the safety and integrity of any software they deploy. Regular security audits and updates are recommended.

9. Data & Security

You retain ownership of all data you store on or transmit through the Services. NovaCore implements industry-standard security measures to protect your data but does not guarantee absolute security. You are responsible for maintaining backups of your data, implementing appropriate network security measures, and following secure API key management practices.

10. AI Usage Guidelines

Users of NovaCore's AI infrastructure are expected to adhere to responsible AI development and deployment practices, including:

  • Ethically sourced training data
  • Regular bias auditing and mitigation
  • Transparent model documentation
  • Performance monitoring and validation
  • Robust testing protocols and safety-first development
  • Controlled deployment processes

11. Limitation of Liability

We provide our services "as is" without any warranty. To the maximum extent permitted by law, NovaCore shall not be liable for any damages, including but not limited to direct, indirect, special, incidental, or consequential damages arising from the use of our services. NovaCore's total liability for any claims shall not exceed the amounts paid by you during the twelve (12) months preceding the claim.

12. Termination

Either party may terminate these Terms with thirty (30) days written notice. NovaCore may suspend or terminate your access immediately if you violate these Terms or the Acceptable Use policy. Upon termination, you must pay all outstanding fees and retrieve your data within thirty (30) days. Confidential information remains protected post-termination.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
